Copyright – Asbuilt technology is protected by copyright and remains the sole property of Asbuilt Limited. Unauthorised copying and distribution is expressly forbidden. Asbuilt Limited reserve the right to apply unlimited damages in the event the client, its agents, representatives or employees breach the terms of our copyright.
Grant of rights – Upon receipt of full payment, Asbuilt Limited grants to the clients rights in the project for use as described. If the client wishes to make any additional uses of the designs, client agrees to seek permission from Asbuilt Limited and make such payments as are agreed to at that time.
Ownership rights – Asbuilt Limited retains the ownership of all original assets whether preliminary or final.
Cancellation – In the event of cancellation of this project, Asbuilt Limited shall retain ownership of all rights and the original assets. A cancellation fee for work completed, based on the contracted price and the client shall pay expenses incurred to date.
Delay of project – In the event of a delay of the project on the part of the client for more than thirty (30) days, Asbuilt Limited reserves the right to invoice the client, and the client will pay for all work completed and expenses incurred to date.
Releases – Client shall indemnify Asbuilt Limited against all claims and expenses, including reasonable solicitor fees, due to uses for which no release was requested in writing or for uses that exceed authority granted by release.
Arbitration – Any disputes in excess of the maximum limit for small claims court arising out of this agreement shall be submitted to binding arbitration before the Joint Ethics Committee or a mutually agreed upon arbitrator pursuant to the rules of the European Arbitration Association. The artibitrator’s award shall be final and judgment may be entered in any court having jurisdiction thereof. The client shall pay all arbitration and court costs, reasonable attorney’s fees, and legal interest on any award of judgement in favour of Asbuilt Limited.
VAT – All charges are quoted exclusive of VAT, which will be levied on each invoice at the prevailing rate.
Expenses – Charges include reasonable daily traveling expenses within the UK, but any agreed overnight accommodation, international travel, car hire and other reasonable subsistence expenses will be charged additionally at cost.
Payment Period – Invoices shall be paid within 28 days of the date appearing on each invoice. Interest will be charged monthly on all overdue amounts at 3% above the Bank of England base rate. Asbuilt Limited reserve the right to withhold access to its website, and/or delay delivery of completed projects in the event that invoices remain unpaid.
